1. Agreement to Terms

By accessing and using agentdatapro.com (the “Service”), you agree to be bound by these Terms of Service. If you do not agree to abide by these terms, you are not authorized to use the Service.

These Terms apply to:

  • All human users of the website
  • All AI agents purchasing content via x402 protocol
  • All wallet addresses making payments
  • All content downloads and usage

2. Use License

Agent Data Pro grants you a limited, revocable license to:

✅ Browse the website for informational purposes

✅ Purchase content via x402 payment protocol

✅ Access purchased articles immediately after payment

✅ Use content for personal, research, or business purposes

✅ Store and reference purchased articles indefinitely

3. Restrictions

You are NOT permitted to:

❌ Redistribute purchased content to others

❌ Resell purchased articles or subscriptions

❌ Reverse-engineer the x402 payment system

❌ Scrape our website (except legitimate agents via x402)

❌ Modify our content without attribution

❌ Claim authorship of Orion Analytics content

❌ Use our content in competing research products without permission

❌ Charge others for access to our content

4. Product Descriptions & Accuracy

Content Accuracy:

  • All articles are authored by Orion Analytics
  • Content is verified for accuracy at time of publication
  • We strive for 95%+ accuracy in data and citations
  • Markets change; content reflects market conditions at publication date

No Warranty:

We do NOT guarantee:

  • Future price movements based on our signals
  • Profitability of trades using our research
  • Uninterrupted access to articles
  • Real-time accuracy (markets move faster than publications)

5. Disclaimer of Warranties

WE PROVIDE CONTENT “AS IS” AND “AS AVAILABLE”

We expressly disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Timeliness
  • Accuracy
  • Completeness

Use at your own risk. We are not liable for:

  • Lost trades or missed opportunities
  • Incorrect market predictions
  • Decisions made based on our content
  • Market volatility or crashes

6. Price and Availability

Prices:

  • All prices are in USDC stablecoin
  • Prices are subject to change without notice
  • Discounts (multi-agent, enterprise) are available upon request
  • We reserve the right to adjust pricing

Availability:

  • Articles are available for purchase indefinitely
  • Subscriptions auto-renew unless cancelled
  • We reserve the right to remove content with 30 days notice
  • Emergency content removal is permitted without notice

7. Payment Terms

x402 Protocol & NanoTrans

How it works:

  1. You initiate payment via x402 protocol
  2. You send USDC to the displayed wallet address
  3. Payment is confirmed on Base blockchain
  4. Content is delivered instantly
  5. Payment is final and non-refundable

Payment Responsibility:

  • You are responsible for paying correct gas fees
  • You are responsible for using correct wallet address
  • You are responsible for maintaining sufficient USDC balance
  • Failed payments result in no charge

No Refunds:

  • All purchases are final
  • No refunds for change of mind
  • No refunds for technical issues (contact support)
  • Chargebacks will result in permanent account ban

8. Subscriptions

Monthly Subscription ($30/month)

What you get:

  • Unlimited access to all current articles
  • First access to future articles
  • Priority email support
  • No per-request rate limits

Auto-renewal:

  • Your subscription renews automatically on the same date each month
  • We will notify you 7 days before renewal
  • You can cancel anytime via your wallet settings
  • Cancellation is effective immediately; no refunds for partial months

Price changes:

  • We may increase the price with 30 days notice
  • You can cancel before the increase takes effect
  • Price decreases apply immediately

Multi-Agent Subscription ($75/month for up to 5 agents)

What you get:

  • Unlimited access for 5 separate wallet addresses
  • Each agent can access all articles independently
  • Shared subscription across your agent team
  • Priority support

Agent limitation:

  • Maximum 5 agents per subscription
  • Each agent needs a unique wallet address
  • Do not share subscription access with outside parties
  • Violations result in permanent ban

Cancellation:

  • Cancel anytime; effective immediately
  • No refunds for partial months
  • All 5 agents lose access upon cancellation

9. Intellectual Property Rights

Content Ownership:

  • All articles are authored by Orion Analytics
  • Orion Analytics retains full copyright
  • You receive a license to read and reference content
  • You do NOT own the content

Your Rights:

✅ Read articles for personal use

✅ Cite content with proper attribution

✅ Use data for research and analysis

✅ Share findings (with credit to Orion Analytics)

You Do NOT Have Rights To:

❌ Republish content

❌ Sell access to others

❌ Modify or create derivative works

❌ Claim authorship

❌ Use in competing products

10. Limitation of Liability

We are NOT liable for:

  • Lost profits or opportunities
  • Incorrect trading decisions
  • Market losses
  • Missed trades
  • System downtime
  • Data loss or corruption
  • Third-party payment failures

Maximum Liability:

In no event shall our total liability exceed the amount you paid for content in the last 12 months.

11. Indemnification

You agree to indemnify and hold harmless Agent Data Pro, Orion Analytics, NanoTrans, and Cloudflare from any claims arising from:

  • Your use of the content
  • Your trading decisions based on our articles
  • Your violation of these Terms
  • Your violation of applicable law
  • Claims by third parties regarding your use

12. Third-Party Links

Our website may contain links to:

  • NanoTrans (x402 payment processor)
  • Base Network (blockchain)
  • External resources

We are NOT responsible for:

  • Third-party content or practices
  • Broken links or changed URLs
  • Third-party security breaches
  • Third-party pricing or policies

13. User Conduct

You agree NOT to:

❌ Harass or threaten anyone on our platform

❌ Violate laws in your jurisdiction

❌ Commit fraud or deception

❌ Perform DDoS attacks or hacking

❌ Spam our support email

❌ Use bots to scrape or abuse our service

❌ Attempt payment reversal or chargebacks

❌ Claim false ownership of content

Consequences of violation:

  • Permanent ban from the service
  • Forfeiture of all content access
  • Reporting to law enforcement if applicable

14. Termination

We may terminate your access if:

  • You violate these Terms
  • You attempt to commit fraud
  • You file a chargeback or dispute
  • You use the service illegally
  • We discontinue the service

Upon termination:

  • Your access is immediately revoked
  • You lose access to purchased content
  • Subscriptions are cancelled
  • No refunds are issued

15. AI Agent Specific Terms

For AI Agents Accessing Our Service

You may:

✅ Use x402 protocol to discover and purchase content

✅ Parse our llms.txt discovery file

✅ Query our API endpoints

✅ Cache purchased content (for reasonable performance)

✅ Integrate our articles into your decision-making

You must NOT:

❌ Redistribute our content to other agents

❌ Claim authorship of Orion Analytics work

❌ Use our content to train competing AI models

❌ Circumvent x402 payments

❌ Scrape our website (use x402 instead)

16. Dispute Resolution

If a dispute arises:

  1. Good Faith Negotiation (first 30 days)
  2. Mediation (if negotiation fails)
    • Third-party mediator appointed
    • Mediation occurs in New Zealand
    • Costs split equally
  3. Arbitration (if mediation fails)
    • Binding arbitration in New Zealand
    • Governed by New Zealand law
    • Arbitrator’s decision is final

17. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles.

Jurisdiction:

  • All disputes shall be resolved in New Zealand courts
  • You consent to personal jurisdiction in New Zealand
  • Non-compliance with New Zealand law voids these Terms

18. Changes to Terms

We may update these Terms at any time.

  • Updated terms take effect immediately upon posting
  • Continued use constitutes acceptance
  • We will email notification for material changes
  • Major changes may require re-acceptance

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision is severed, and the remaining Terms continue in full force.

20. Entire Agreement

These Terms (plus our Privacy Policy) constitute the entire agreement between you and Agent Data Pro regarding the Service.

No other agreements, negotiations, or representations are valid unless in writing and signed by both parties.
